Welcome to Inciteful Inc. These Terms of Use ("Terms") govern your access to and use of the Inciteful Inc, a Delaware company (hereinafter the “Company”), and the Company’s products, including Inciteful Med, our websites, research applications, and related services (collectively, the "Services"), present and future. Our Services provide access to a library of medical literature and research. By visiting or using the Services, you agree to be bound by these Terms, whether or not you are a registered member of the Company’s platform. These Terms govern your use of the Services and create a binding agreement that we may enforce against you in the event of a violation. If you are using the Services and agreeing to these Terms on behalf of a company, or other legal entity, you represent that you have the authority to bind that legal entity to these Terms. If you do not agree to all of these Terms of Use, do not use the Services.

General Code of Conduct

In addition to the below Terms, you agree to:

• Not use the Services in a way that violates the Terms.
• Not harvest or scrape the content from the Services.
• Not use the Services in any manner to propagate software viruses or any malicious or non-malicious computer code, files, or programs to do harm.
• Not use the Services to collect information of any third party or in violation of our Privacy Policy.
• Not use the Services to advertise or promote products or services.
• Use the Services in good faith, and in compliance with all applicable local, provincial or state, national, and international laws, as well as all standards of professional practice applicable to you and the practice of medicine or any other relevant health profession.

Account Registration

To access certain features, you must register for an account. Accounts are available to any individual 18 years or older. You agree to provide true and accurate information during registration and keep it up-to-date. Registration requires you to provide us with your name, email address, role, and other information specified on the registration form. You are required to select and maintain a password that will be associated with your account. It is your responsibility to create a password of sufficient strength that cannot easily be discovered by third parties. You are solely responsible for maintaining the confidentiality of your account credentials and all activities under your account. You may not permit another person to use your username and password to access the Services. We shall have no liability for any unauthorized access to or use of your account information.

Use of Services

Intended Audience

Inciteful Med is one of the Services available by Inciteful Inc. Inciteful Med is an experimental technology demonstrator. The Company does not provide medical advice, diagnosis, or treatment. Content provided to you by Inciteful Med may be inaccurate or incomplete. Inciteful Med is designed for healthcare professionals. By using our Services, you represent that you are a qualified healthcare professional. User questions and other inputs including documentation you provide are not covered by HIPPA. It is the responsibility of the user to ensure that documentation and questions do not contain protected health information or any information that violates the privacy of any person.

Educational Purpose

The information provided is for educational and informational purposes only. It is not intended to replace professional medical advice, diagnosis, or treatment. It is in no way intended to provide certainty with respect to diagnosis, recommendations or to otherwise substitute for the clinical and professional judgment of a qualified healthcare professional.

User Responsibilities

You agree to use the Services responsibly and in compliance with applicable laws and professional standards applicable to you and the practice of medicine. If you are a consumer who chooses to access the professional-level information made available through the Services, you should not rely on that information as professional medical advice or use the Services as a replacement for any relationship with your physician or other qualified healthcare professional. For medical concerns, including decisions about medications and other treatments, consumers should always consult their physician or, in serious cases, seek immediate assistance from emergency medical personnel.

Intellectual Property

You acknowledge that the Services contain proprietary and confidential information that is protected by applicable intellectual property and other laws. All content and materials available through our Services are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content or Services without our explicit permission.

User Content

When you submit content to our Services, including without limitation, text, images, photographs, figures, charts, reports, data, test results (User Content), you grant us a non-exclusive, worldwide, royalty-free license to use, modify, distribute, host, and display that content. User Content does not include registration information.

Prior to submitting any User Content to the Services, you must remove any information that identifies an individual or could reasonably enable the identification of an individual, e.g., name, e-mail address, social security number, insurance number, or other unique identification number, biometric identifiers, facial photographs. You shall be solely responsible for any claims arising from your failure to de-identify User Content that you submit through the Services.

Inciteful Inc. is not responsible or liable for any advice, course of treatment, diagnosis, or any other information or services, including health care services, that you may obtain through your Healthcare Provider.
